CONSTITUTION
ARTICLE I Name
The name of this organization shall be the Fenton Artist Guild. || Top ||

ARTICLE II PURPOSES
The objectives of this Guild shall be to promote interest in the visual arts in the greater Fenton area and give opportunity for active work and mutual helpfulness within the membership. || Top ||

ARTICLE III MEMBERSHIP
Membership in this guild shall be of three classes: Active, student, honorary. Members shall perform such duties as are assigned to them and as are set forth in the by-laws. || Top ||

ARTICLE IV OFFICERS
Section I
The officers of this Guild shall be President, Vice- President, Secretary, Treasurer, Newsletter Editor and Historian, the majority of which are to be artists.
Section 2
These officers and the charter members shall constitute the Executive Board.
Section 3
The officers shall be elected by the membership from a list presented by a nominating committee at the November meeting each year.
Section 4
All officers shall continue in office for one year, or until their successors are elected.
Section 5
Vacancies in an office shall be filled by the Executive Board for the remaining term of office.
Section 6
A majority vote of a quorum shall be necessary to constitute an election. || Top ||

ARTICLE V MEETINGS
Section 1
Regular meetings of the guild shall be held monthly, except December, at such time and place as the Executive Board may decide.
Section 2
Special meetings of the Guild may be called by the President.
Section 3
Meetings of the Executive Board may be called by the president or any three members of the Board. || Top ||

ARTICLE VI QUORUMS
Section 1
Fifteen active members shall constitute a quorum at any meeting of the Guild, but at no time shall the lack of a quorum prevent the carrying on of a program.
Section 2
Four members of the Executive Board shall constitute a quorum at all Board meetings. || Top ||

ARTICLE VII AMENDMENTS
Section 1
This constitution may be amended at any regular meeting by a two-thirds majority of all active members present, the proposed amendment having been submitted in writing and read to the membership at a preceding regular meeting and having been published in the monthly newsletter prior to the vote.

Section 2
The by-laws may be amended at any regular meeting by a two-third majority of all active members present, the proposed amendment having been submitted in writing and read to the membership prior to discussions and vote. || Top ||

The Fenton Artist Guild is, and shall remain, a non-profit organization for ever. || Top ||
